Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of Fidelis Pulse, operated by Fidelis Strategy LLC(“we”, “us”, or “our”). By creating an account or using the service, you agree to these Terms. If you do not agree, do not use the service.

2. The service

Fidelis Pulse is a financial dashboard platform that aggregates business financial data from connected sources (QuickBooks, Xero, Plaid, Stripe, and others) and presents it to business owners and their advisors. The service is provided on a subscription basis.

3. Accounts

• You must provide accurate information when creating an account.
• You are responsible for maintaining the confidentiality of your password.
• You must be at least 18 years old and have authority to bind any business on whose behalf you use the service.
• You are responsible for all activity under your account.

4. Subscriptions and billing

• Pulse is billed at $249 per month per owner account.
• Advisor Starter is billed at $499 per month per firm and includes up to 10 active clients.
• Advisor Growth is billed at $1,299 per month per firm and includes up to 25 active clients with white-label branding.
• Fidelis Close is billed at $5,000 per engagement, activated from inside a client engagement.
• A 30-day free trial is available for new accounts; no credit card is required to start.
• After the trial, billing begins automatically. You may cancel at any time.
• Cancellation takes effect at the end of the current billing period. No refunds are issued for partial periods.
• We reserve the right to change pricing with 30 days’ notice.

5. Acceptable use

You agree not to:

• Use the service for any unlawful purpose or in violation of any applicable law.
• Attempt to gain unauthorized access to any part of the service or its infrastructure.
• Reverse engineer, decompile, or otherwise attempt to extract the source code of the service.
• Use the service to store or transmit malicious code.
• Resell or sublicense access to the service without our written permission.

6. Your data

You retain ownership of all financial and business data you provide to or import into the service. You grant us a limited license to store, process, and display your data solely to operate the service. We do not claim any ownership over your data. 7. Third-party integrations

The service connects to third-party platforms (QuickBooks, Xero, Plaid, Stripe, and others) via OAuth or API keys you provide. Your use of those platforms is governed by their own terms of service. We are not responsible for the availability, accuracy, or behavior of third-party services.

8. Disclaimer of warranties

The service is provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or that the financial data displayed is accurate or complete. Nothing in the service constitutes financial, legal, or investment advice.

9. Limitation of liability

To the maximum extent permitted by law, Fidelis Strategy LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the service, even if we have been advised of the possibility of such damages. Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason with reasonable notice. You may delete your account at any time from your account settings. Upon termination, your data will be deleted in accordance with our Privacy Policy.

11. Governing law

These Terms are governed by the laws of the United States and the state in which Fidelis Strategy LLC is registered, without regard to conflict of law principles.

12. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes via email or a notice in the application. Continued use of the service after changes constitutes acceptance of the updated Terms.
